This Privacy Policy explains how HUB Healthcare, LLC (“HUB,” “we,” “us,” or “our”) collects, uses, discloses, stores, and protects personal information when you access or use our websites, mobile applications, software, communication tools, marketplaces, scheduling tools, messaging tools, and related products and services (collectively, the “Platform”).

This Privacy Policy should be read together with our Platform Terms of Service and any supplemental agreements, notices, or consents that may apply to specific products, workflows, users, or services.

Important: This Privacy Policy is intended as a business draft for review and customization by qualified legal counsel. Because the Platform may involve caregiving, scheduling, communication, operational workflows, payments, and healthcare-adjacent use cases, this Policy should be reviewed for compliance with applicable privacy, consumer protection, and health-information laws in each jurisdiction where the Platform operates.

1. Scope

This Privacy Policy applies to personal information we collect:

through the Platform;

when you create an account or profile;

when you submit forms, requests, or inquiries;

when you communicate with us or with other users through the Platform;

when you participate in scheduling, coordination, payment, verification, or support workflows;

when you subscribe to communications from us;

when you visit our website; and

when we otherwise interact with you in connection with the Platform.

This Privacy Policy does not apply to:

information processed solely on behalf of an enterprise, provider, partner, or customer where HUB acts only as a service provider or processor under a separate agreement;

third-party websites, services, software, processors, or integrations not controlled by HUB; or

offline services or activities not connected to the Platform, except where this Policy expressly says otherwise.

2. Categories of Information We Collect

Depending on how you use the Platform, we may collect the following categories of information.

2.1 Information You Provide Directly

We may collect information you provide directly to us, including:

name, email address, phone number, mailing address, and other contact details;

account credentials and login information;

profile information, preferences, service interests, availability, qualifications, credentials, experience, and biographical details;

business, employer, facility, agency, or organizational information;

messages, support requests, uploaded files, notes, reviews, forms, submissions, and communications;

scheduling details, appointment preferences, service requests, and workflow data;

billing details, payment-related information, and transaction records;

identity verification materials, documents, certifications, licenses, and onboarding information; and

any other information you choose to provide through the Platform.

2.2 Information Collected Automatically

When you access or use the Platform, we may automatically collect certain information, including:

device type, browser type, operating system, IP address, and unique device identifiers;

usage data, session activity, clicks, navigation paths, referring pages, dates and times of access, and feature interaction data;

approximate geolocation derived from IP address;

cookies, pixels, tags, scripts, SDKs, and similar tracking technologies; and

diagnostic, analytics, security, and performance data.

2.3 Information From Third Parties

We may receive information from third parties, including:

payment processors;

identity verification, background check, or credentialing providers;

analytics providers and advertising partners;

customer relationship management, communications, scheduling, and support tools;

enterprise customers, partners, agencies, facilities, or referral sources;

social login providers or authentication providers, if enabled; and

publicly available sources or lawful third-party data sources.

2.4 Sensitive and Healthcare-Adjacent Information

Depending on how the Platform is implemented, users may submit information that is sensitive, caregiving-related, operationally sensitive, or health-related. This may include information concerning care needs, scheduling constraints, service preferences, mobility or support needs, household context, operational workflows, or related details.

HUB does not intend for users to submit medical records, full clinical charts, diagnoses, treatment plans, insurance numbers, or other regulated health information unless expressly authorized as part of a specific workflow and supported by appropriate agreements, notices, and safeguards.

3. How We Use Information

We may use personal information for the following purposes:

to provide, operate, maintain, and improve the Platform;

to create and manage accounts, profiles, and permissions;

to support coordination, communication, scheduling, matching, workflow management, and other Platform functions;

to verify identity, eligibility, credentials, and onboarding status;

to process transactions, invoices, disbursements, refunds, cancellations, and payment-related activity through third-party processors;

to send account notices, security notices, transactional communications, reminders, alerts, and operational updates;

to provide customer service, troubleshooting, and technical support;

to analyze usage, trends, adoption, and performance;

to personalize content, features, workflows, and user experiences;

to detect, investigate, prevent, and address fraud, abuse, unauthorized access, safety incidents, policy violations, and illegal activity;

to protect users, HUB, and third parties;

to enforce our agreements, policies, and legal rights;

to comply with legal obligations, regulatory requirements, lawful requests, and dispute-related needs; and

to send marketing communications where permitted by law and subject to available opt-out rights.

4. Legal Bases for Processing

Where required by applicable law, we process personal information on one or more of the following bases:

your consent;

performance of a contract or steps taken at your request before entering into a contract;

compliance with legal obligations;

protection of vital interests;

public interest, where applicable; and

our legitimate interests, including operating the Platform, improving services, preventing fraud, securing systems, supporting users, and conducting reasonable business operations, except where overridden by rights that require a different standard.

5. How We Share Information

We may share personal information in the following circumstances:

5.1 With Other Users or Participants

If a Platform workflow requires interaction, coordination, scheduling, matching, or communication between users, we may share relevant profile, scheduling, request, communication, and workflow information with other users or authorized participants as reasonably necessary for the Platform to function.

5.2 With Service Providers

We may share information with vendors, contractors, and service providers that perform services on our behalf, including providers of hosting, infrastructure, analytics, communications, customer support, verification, background checks, scheduling, payments, email delivery, text messaging, document storage, security, and professional services.

5.3 With Payment Processors

If payment features are enabled, payment-related information may be collected, processed, and stored by third-party processors under their own terms and privacy policies. HUB may receive limited transaction details, billing status, payout status, and related records necessary to support the Platform.

5.4 With Enterprise Customers, Partners, or Organizations

If you use the Platform through or in connection with an employer, facility, agency, enterprise customer, referral partner, or other organization, we may share information with that organization consistent with the applicable workflow, relationship, permissions, and any governing agreements.

5.5 For Legal, Safety, and Compliance Reasons

We may disclose information if we believe in good faith that disclosure is necessary to:

comply with law, regulation, legal process, or governmental request;

enforce our terms, policies, and agreements;

protect the rights, property, safety, or security of HUB, users, or others;

investigate fraud, abuse, harassment, unlawful conduct, or security incidents; or

respond to emergencies or urgent situations where disclosure is appropriate or required by law.

5.6 Business Transfers

We may disclose or transfer information in connection with an actual or proposed merger, financing, acquisition, sale of assets, bankruptcy, reorganization, or other corporate transaction.

5.7 With Your Direction or Consent

We may share information with third parties when you direct us to do so or otherwise consent.

6. Cookies, Analytics, Advertising, and Tracking Technologies

We and our third-party providers may use cookies, pixels, tags, web beacons, SDKs, scripts, local storage, and similar technologies to:

keep you signed in;

remember settings and preferences;

analyze traffic, engagement, and Platform performance;

understand usage patterns and feature adoption;

improve security and site performance;

support communications, analytics, and marketing activities;

measure campaign performance and audience behavior; and

help us improve user experience and business operations.

For caregiver pre-launch marketing pages, HUB may also use first-party analytics events and a first-party anonymous identifier cookie to measure unique visits, understand conversion to signup, and improve onboarding flow quality. These records may include hashed IP and hashed user-agent values, URL/referrer context, and campaign parameters (such as UTM tags) for operational analytics purposes.

The Platform may use analytics tools, advertising technologies, retargeting tools, and similar services provided by third parties. These tools may collect information about your device, browser, IP address, activity on the Platform, pages viewed, clicks, session information, and referral sources.

The Platform may also use session replay or similar diagnostic tools to help us understand usability issues, troubleshoot technical problems, improve workflows, and optimize the user experience. Where used, these tools are intended to support product improvement, operations, and security.

Depending on the jurisdiction and the way the Platform is configured, HUB may also use cookie banners, consent management tools, or similar mechanisms to provide notice and obtain or record user consent for certain tracking activities.

You may be able to manage cookies through your browser settings, device controls, or available consent preferences. Blocking certain cookies or tracking technologies may affect Platform functionality.

7. Communications Preferences

We may send you service-related and transactional communications, including account notices, verification messages, security alerts, reminders, scheduling updates, workflow notifications, and payment-related notices.

We may also send marketing or promotional communications where permitted by law. You may opt out of marketing emails by using the unsubscribe link in those emails. You may not be able to opt out of service-related or legally required communications.

If we use text messaging, automated calls, prerecorded calls, or similar communications, those communications will be subject to applicable law, your permissions, and any separate notices or consent language presented to you.

8. Data Retention

We retain personal information for as long as reasonably necessary for the purposes described in this Privacy Policy, including to:

provide the Platform;

maintain business and operational records;

complete transactions and support workflows;

comply with legal, tax, accounting, regulatory, and contractual requirements;

resolve disputes;

enforce agreements; and

protect against fraud, abuse, and security risks.

Retention periods may vary depending on the type of information, the nature of the relationship, legal obligations, and operational needs.

9. Security

We use reasonable administrative, technical, and organizational measures designed to protect personal information from unauthorized access, disclosure, alteration, loss, and misuse.

However, no system, network, platform, transmission method, or storage environment is completely secure. Accordingly, we cannot guarantee absolute security.

Users are responsible for maintaining the confidentiality of their credentials and for using appropriate care when submitting information through the Platform.

10. Children’s Privacy

The Platform is not intended for use by children under thirteen (13), and we do not knowingly collect personal information directly from children under thirteen through the Platform.

If you believe a child has provided personal information to us without appropriate authorization, please contact us so we can take appropriate steps.

11. State Privacy Rights and Other Jurisdiction-Specific Rights

HUB is initially operating in North Carolina, but the Platform may be made available to users in other states. Because privacy laws may apply based on the residence of the user, the location of the activity, the nature of the data collected, or the scale of the business, HUB may provide additional state-specific privacy notices, rights disclosures, or consumer-request mechanisms as needed.

Depending on where you live, you may have rights under applicable privacy laws, which may include the right to:

know whether we process your personal information;

access personal information we maintain about you;

request correction of inaccurate information;

request deletion of certain information;

obtain a copy of certain information in a portable format;

opt out of certain types of targeted advertising, profiling, or sales or sharing of personal information, where applicable; and

appeal certain privacy-rights decisions, where required by law.

These rights are subject to limitations, exceptions, identity verification, and applicability under law.

If HUB becomes subject to state-specific privacy laws, including laws in California or other states with consumer privacy statutes, HUB may publish supplemental privacy notices and additional procedures to address those requirements.

12. “Do Not Track” and Similar Signals

Some browsers and devices may offer “Do Not Track” or similar privacy preference signals. Because there is not yet a universally accepted standard for responding to these signals across all environments, HUB may not respond to them unless required by applicable law.

If applicable law requires recognition of specific opt-out preference signals, HUB may implement those requirements for covered users.

13. Cross-Border Data Transfers

If the Platform is accessed from outside the United States, your information may be transferred to, stored in, or processed in the United States or other jurisdictions where HUB or its service providers operate.

By using the Platform, you acknowledge that information may be processed in jurisdictions that may have different data protection laws than those of your location, subject to any legal requirements that apply.

14. Third-Party Sites, Tools, and Integrations

The Platform may contain links to or integrations with third-party websites, payment processors, scheduling tools, communications tools, EHR connectors, analytics tools, customer support tools, advertising providers, or other external services.

HUB does not control these third parties and is not responsible for their privacy practices, content, terms, or security. Your interactions with those services are governed by their own privacy policies and terms.

15. Service Provider / Processor Role for Enterprise Workflows

In some enterprise, partner, or organization-specific workflows, HUB may process personal information on behalf of a customer, provider, agency, facility, or other organization under separate contractual terms.

In those situations, HUB may act as a service provider, processor, or similar role, and the relevant customer or organization may control certain processing decisions. If so, privacy rights requests or questions about those specific workflows may need to be directed to that organization in the first instance.

16. Health Information and HIPAA-Adjacent Workflows

The Platform may be used in environments where scheduling, coordination, referrals, discharge, intake, operational, or healthcare-adjacent information is present. However, the Platform is not intended for the collection, storage, or transmission of regulated health information unless HUB has expressly approved that use in writing and implemented the required legal, contractual, and technical safeguards.

Users should not upload, submit, message, or otherwise provide medical records, full clinical charts, diagnoses, treatment plans, insurance member numbers, prescription information, or other regulated health information through the Platform unless a specific workflow expressly permits it.

Unless expressly stated in a separate agreement, HUB is not acting as a healthcare provider, and this Privacy Policy is not a substitute for any business associate agreement, covered entity notice of privacy practices, healthcare provider privacy notice, or state-specific health information notice that may be required in a particular implementation.

If HUB later supports workflows involving regulated health information, HUB may require additional notices, permissions, business associate or similar agreements, access controls, data-minimization rules, security safeguards, and workflow-specific restrictions before that functionality is made available.

17. Changes to This Privacy Policy

We may modify this Privacy Policy at any time.

If we make material changes, we may provide notice by posting the updated Privacy Policy on the Platform, updating the effective date, sending an email, providing in-app notice, or using other reasonable means.

Your continued use of the Platform after the effective date of an updated Privacy Policy constitutes acceptance of the revised Policy to the extent permitted by law.
