Enterprise and Partner Terms

These Enterprise and Partner Terms (“Enterprise Terms”) govern the use of the HUB Healthcare platform (the “Platform”) by organizations, institutions, agencies, facilities, referral partners, or other entities (collectively, “Organizations”) that use the Platform for operational, coordination, referral, scheduling, or workflow purposes.

These Terms supplement the HUB Platform Terms of Service. By creating an organizational account, integrating the Platform into workflows, or otherwise using the Platform in an organizational capacity, the Organization agrees to comply with these Enterprise Terms and the Platform Terms of Service.

1. Organizational Accounts

Organizations may create enterprise or administrative accounts that allow designated representatives to access and manage Platform features.

Organizations are responsible for:

designating authorized administrators;

controlling internal user permissions;

maintaining accurate organizational information;

ensuring authorized use of the Platform by their personnel.

The Organization is responsible for all activity conducted through its organizational accounts.

2. Authorized Users

Organizations may permit employees, contractors, staff members, or authorized agents (“Authorized Users”) to access the Platform.

Organizations agree to ensure that Authorized Users:

comply with the Platform Terms of Service;

comply with applicable laws and regulations;

follow organizational policies governing technology use and privacy.

Organizations remain responsible for the conduct of their Authorized Users while using the Platform.

3. Platform Role

HUB provides technology services designed to support communication, coordination, scheduling, workflow management, and related functions.

HUB does not provide medical services, clinical care, professional services, or staffing services unless explicitly stated in a separate written agreement.

Organizations remain responsible for professional, clinical, operational, or regulatory decisions made within their operations.

4. Organizational Responsibilities

Organizations using the Platform are responsible for:

compliance with applicable healthcare, labor, privacy, and safety laws;

determining appropriate workflows and internal policies;

supervising staff and service providers;

verifying credentials and qualifications where required by law;

ensuring services are delivered safely and legally.

HUB does not supervise organizational personnel or providers operating under an Organization.

5. Data Responsibility

Organizations may submit, upload, or process operational or coordination information through the Platform.

Organizations are responsible for:

ensuring that data shared through the Platform is lawful to process;

limiting sensitive information to what is necessary for operational workflows;

complying with privacy obligations applicable to their operations.

Unless explicitly agreed otherwise in writing, the Platform is not intended to store regulated medical records or full clinical data sets.

6. Integration and Workflow Configuration

The Platform may support integrations with external systems, scheduling tools, communication systems, or enterprise software.

Organizations acknowledge that:

integrations may depend on third‑party systems;

integration performance may vary;

certain integrations may require additional agreements or technical configuration.

HUB does not guarantee compatibility with every external system.

7. Payment and Billing

Organizations may use the Platform under subscription agreements, service contracts, enterprise pricing structures, or other commercial arrangements.

Billing structures may include:

subscription fees

implementation or onboarding fees

usage‑based fees

enterprise service agreements

Specific pricing and payment schedules may be governed by separate written agreements.

8. Security Responsibilities

Organizations must take reasonable steps to secure access to the Platform, including:

controlling login credentials;

limiting administrative permissions;

maintaining internal security practices;

promptly reporting suspected unauthorized access.

Organizations remain responsible for their internal systems and networks.

9. Compliance with Laws

Organizations must ensure that their use of the Platform complies with applicable laws and regulations, including laws governing:

healthcare operations;

data protection;

labor and employment;

licensing and credentialing;

reporting obligations.

HUB does not provide legal or regulatory compliance advice.

10. Suspension or Restriction of Access

HUB may suspend or restrict organizational access to the Platform if:

these Terms are violated;

unlawful activity is suspected;

security risks arise;

misuse of the Platform occurs.

HUB will attempt to provide notice where reasonable but may act immediately where necessary to protect the Platform or its users.

11. Intellectual Property

The Platform and all related software, technology, designs, and workflows remain the intellectual property of HUB Healthcare, LLC.

Organizations receive a limited license to use the Platform in accordance with applicable agreements.

Organizations may not copy, distribute, reverse engineer, or otherwise misuse the Platform.

12. Limitation of HUB Responsibility

HUB provides technology services only.

HUB is not responsible for:

decisions made by organizations;

actions of organizational staff or contractors;

compliance obligations of organizations;

service outcomes resulting from use of the Platform.

13. Termination

Organizational access to the Platform may be terminated in accordance with applicable agreements or if these Terms are violated.

Upon termination, access to organizational accounts may be disabled.

Certain provisions may survive termination, including payment obligations and data retention requirements.

14. Changes to These Terms

HUB may update these Enterprise Terms from time to time. Updated versions will be posted on the Platform with a revised effective date.

Continued use of the Platform constitutes acceptance of revised Terms.
