Platform Terms of Service

These Platform Terms of Service (the “Terms”) are a binding legal agreement between you and HUB Healthcare, LLC (“HUB,” “we,” “us,” or “our”) governing your access to and use of our websites, mobile applications, software, communication tools, marketplaces, scheduling tools, messaging tools, and related products and services (collectively, the “Platform”).
By accessing, browsing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
Important: These Terms are intended as a business draft for review and customization by qualified legal counsel. Because the Platform may involve caregiving, home access, healthcare-adjacent interactions, scheduling, communications, and payments, these Terms should be reviewed for compliance with the laws of each state or jurisdiction in which the Platform operates.
1. Scope and Acceptance
By using the Platform, you represent and warrant that:
you are at least eighteen (18) years old and able to form a binding contract;
you have authority to agree to these Terms for yourself and, if applicable, on behalf of any entity you represent;
you will comply with these Terms and all applicable laws, rules, and regulations;
all information you provide to HUB is true, accurate, current, and complete; and
if you use the Platform on behalf of another person, family member, business, or organization, you are authorized to bind that person or organization to these Terms.
2. Description of the Platform
The Platform is a technology-enabled marketplace and coordination tool that may allow users to create accounts, communicate, request support services, review opportunities, post or accept assignments, schedule visits, exchange information, process payments, and otherwise connect with one another.
HUB provides software and related technology services only. HUB is not a provider of caregiving, nursing, home health, medical, clinical, therapy, transportation, housekeeping, companionship, or other in-person services.
HUB does not directly provide care, supervise care, direct how care is delivered, control professional judgment, or guarantee the quality, legality, safety, appropriateness, timeliness, or outcome of any services arranged through the Platform.
The Platform may be used by different categories of users, including without limitation:
individuals or families seeking services or support;
caregivers or service providers seeking opportunities;
agencies, facilities, partners, coordinators, or other organizations; and
visitors who browse or otherwise interact with the Platform.
The specific roles, rights, and responsibilities of each category of user may also be addressed in separate agreements, policies, or acknowledgements.
3. Marketplace Status; No Employment or Agency Relationship
HUB operates as a technology marketplace and communications platform.
Unless HUB expressly states otherwise in a separate written agreement signed by HUB, you acknowledge and agree that:
HUB is not the employer of any caregiver, service provider, or other user;
HUB is not a staffing agency, home care agency, nurse registry, or healthcare provider;
HUB does not control, direct, supervise, train, manage, or require the manner, means, timing, methods, or details by which any caregiver or service provider performs services;
any relationship formed between a caregiver and a client, family, agency, facility, or other user is solely between those parties;
no joint venture, partnership, franchise, employment, fiduciary, agency, or similar relationship is created between HUB and any user by virtue of the Platform or these Terms; and
to the extent caregivers or service providers use the Platform, they do so as independent businesses or independent contractors unless otherwise expressly agreed in writing.
4. Eligibility and Geographic Limits
You may use the Platform only if you are legally permitted to do so under applicable law. HUB may restrict access to the Platform or certain features based on geography, licensing concerns, risk considerations, age, or other business or legal reasons.
You may not use the Platform if:
your use would violate any law or regulation;
you have been suspended, removed, or prohibited from using the Platform;
you are using the Platform for fraudulent, harmful, abusive, or unauthorized purposes; or
you are acting on behalf of another person without authority.
HUB reserves the right to verify eligibility at any time.
5. Account Registration and Security
To access certain features, you may be required to create an account. You agree to:
provide complete and accurate registration information;
keep your account information current;
maintain the confidentiality of your login credentials;
notify HUB immediately of any unauthorized access to or use of your account; and
accept responsibility for all activity occurring under your account, whether or not authorized by you, to the fullest extent permitted by law.
HUB may require identity verification, phone verification, email verification, multifactor authentication, documentation uploads, profile completion, or additional onboarding steps.
We may refuse registration, reclaim usernames, suspend access, or close accounts at our discretion.
6. User Categories and Supplemental Agreements
Certain users may be required to agree to additional terms, including but not limited to:
caregiver agreements;
client or family agreements;
partner or enterprise agreements;
payment terms;
privacy notices;
safety policies;
background check authorizations;
HIPAA-related or confidentiality acknowledgements; and
state-specific notices or disclosures.
If there is a conflict between these Terms and a supplemental agreement, the supplemental agreement will control only with respect to the specific subject matter it addresses, unless that agreement states otherwise.
7. User Responsibilities
You are solely responsible for your own conduct and all information, communications, content, requests, offers, profiles, messages, activities, and arrangements made through or outside the Platform.
You agree that you will not:
use the Platform in violation of any law, regulation, or third-party right;
provide false, misleading, or incomplete information;
misrepresent your identity, qualifications, experience, credentials, authority, availability, or intentions;
use the Platform to engage in abuse, harassment, discrimination, threats, exploitation, stalking, retaliation, or unsafe conduct;
use the Platform for any emergency, urgent medical need, or life-threatening situation;
request, offer, or provide services that are illegal, unsafe, unethical, or outside the scope permitted by law;
interfere with the operation, security, or integrity of the Platform;
copy, scrape, reverse engineer, decompile, extract, or mine data from the Platform except as permitted by law;
circumvent fees, workflows, safety procedures, verification processes, or required acknowledgements;
upload viruses, malware, malicious code, or other harmful materials;
collect or misuse personal information of other users except as permitted through the Platform and applicable law; or
use the Platform to advertise unrelated products or services without HUB’s written permission.
8. No Emergency Use; No Medical or Clinical Services
The Platform is not an emergency response service and must not be used for urgent, emergency, crisis, or life-threatening situations. If you believe someone is experiencing a medical emergency, call 911 or your local emergency services immediately.
You acknowledge and agree that:
HUB does not provide medical advice;
HUB does not diagnose, treat, monitor, direct, or supervise medical or clinical care;
HUB is not a hospital, physician practice, nurse registry, licensed home care agency, emergency response service, or healthcare provider; and
information presented through the Platform is for coordination, communication, and marketplace purposes only unless expressly stated otherwise.
9. Content, Profiles, and Communications
The Platform may permit users to submit, upload, transmit, or display text, images, files, profile information, availability information, ratings, reviews, messages, and other content (“User Content”).
You retain ownership of your User Content, but you grant HUB a non-exclusive, worldwide, royalty-free, transferable, sublicensable right to host, store, use, reproduce, modify, display, distribute, and otherwise process your User Content for purposes of operating, improving, securing, promoting, and supporting the Platform.
You represent and warrant that:
you own or have sufficient rights to the User Content;
the User Content is accurate and not misleading;
the User Content does not violate applicable law or third-party rights; and
the User Content is not defamatory, obscene, abusive, discriminatory, fraudulent, or otherwise improper.
HUB may, but is not obligated to, monitor, review, screen, edit, refuse, remove, or disable any User Content at any time and for any reason.
10. Communications Consent
By using the Platform or providing contact information to HUB, you consent, to the extent permitted by law, to receive communications from HUB and, where applicable, from other users through the Platform, including by email, text message, push notification, phone call, voicemail, or in-app messaging.
These communications may include:
account and security notifications;
scheduling or service-related messages;
onboarding and verification messages;
transactional and payment-related notices;
policy updates;
reminders, alerts, and workflow notifications; and
marketing communications, subject to applicable opt-out rights.
You are responsible for any charges imposed by your communications provider. Consent to receive communications is not a condition of purchase where prohibited by law.
11. Background Checks and Verification
HUB may, directly or through third parties, offer or require identity checks, reference checks, license checks, certification reviews, sanctions screening, criminal history checks, motor vehicle checks, document reviews, or other verification measures for some users.
You acknowledge and agree that:
any such screening or verification may be limited in scope, timing, geography, sources, and accuracy;
screening results may change over time and may not reflect all relevant information;
the absence of adverse information does not mean a person is safe, trustworthy, qualified, licensed, suitable, or appropriate;
users remain solely responsible for using independent judgment and taking appropriate precautions when interacting with others; and
HUB may suspend, deny, or revoke access based on screening or verification results, incomplete information, inconsistencies, safety concerns, or risk determinations.
Nothing in these Terms creates an obligation for HUB to conduct background checks or ongoing monitoring unless HUB expressly states otherwise in writing.
12. User Interactions and Off-Platform Activity
Users may communicate, meet, exchange information, enter homes or facilities, provide or receive services, exchange keys, transport people or property, handle equipment, or otherwise interact in ways that involve personal, property, health, safety, or financial risk.
You acknowledge and agree that:
all interactions with other users are at your own risk;
HUB is not responsible for the acts, omissions, negligence, misconduct, or legal compliance of any user;
HUB does not guarantee the conduct, honesty, qualifications, licensing, insurance, background, identity, or performance of any user; and
HUB is not responsible for what happens before, during, or after any offline interaction or service arrangement.
Users are solely responsible for evaluating whether any interaction, service arrangement, location, or request is appropriate and safe.
13. Payments, Fees, and Processors
The Platform may include or later add features relating to pricing, rates, fees, payment processing, invoicing, disbursements, tips, refunds, holds, or other financial transactions.
If payments are enabled:
you agree to pay all applicable charges, fees, taxes, and other amounts disclosed to you;
HUB may use one or more third-party payment processors;
you may be required to agree to additional payment processor terms;
HUB may collect service fees, processing fees, subscription fees, convenience fees, cancellation fees, or other fees as disclosed on the Platform or in supplemental policies; and
HUB may place holds, delay disbursements, reverse payments, offset amounts owed, or suspend transactions where necessary for fraud prevention, dispute resolution, compliance, chargebacks, refunds, or risk management.
All payment features are subject to change.
14. Cancellation, No-Show, and Rescheduling
If the Platform offers scheduling or booking functionality, users may be subject to cancellation, no-show, lateness, rescheduling, refund, or dispute rules stated on the Platform or in a separate Payment and Cancellation Policy.
Unless otherwise stated in a supplemental policy, HUB reserves the right to determine or modify marketplace-level rules for:
cancellation windows;
partial or full refunds;
no-show fees;
late cancellation fees;
rescheduling procedures;
user penalties for repeated cancellations; and
account restrictions related to abuse of scheduling features.
15. Taxes and Financial Responsibility
Users are solely responsible for determining and fulfilling their own tax obligations arising from use of the Platform, including any obligations related to income, payroll, sales, use, excise, withholding, employment, contractor, or other taxes.
HUB does not provide tax advice and does not guarantee the accuracy of any tax-related information presented through the Platform.
To the extent caregivers or service providers earn money through the Platform, they are solely responsible for their own tax reporting, filings, and remittances unless a separate written agreement expressly states otherwise.
16. Safety; Right to Refuse or Remove Access
HUB may establish and enforce safety standards, conduct expectations, prohibited activity rules, community guidelines, documentation requirements, and risk management procedures.
HUB may investigate complaints, request information, require corrective steps, pause access, remove listings or opportunities, restrict functionality, or terminate accounts based on safety, legal, operational, reputational, or trust concerns.
HUB has no obligation to allow any person to continue using the Platform and may act preemptively to protect users, the Platform, or the business.
17. Intellectual Property
The Platform, including all software, workflows, user interfaces, designs, text, graphics, logos, trademarks, service marks, trade names, compilations, and related materials, are owned by HUB or its licensors and are protected by intellectual property laws.
Except for the limited right to use the Platform in accordance with these Terms, no rights are granted to you.
You may not:
copy, modify, distribute, sell, lease, sublicense, or exploit the Platform;
use HUB’s branding without written permission;
reverse engineer or attempt to access source code except as permitted by law; or
use data from the Platform to build a competing service.
“HUB,” “HUB Healthcare,” and related names, logos, and marks are proprietary to HUB Healthcare, LLC unless otherwise indicated.
18. Third-Party Services and Links
The Platform may contain links to third-party websites, software, communication tools, payment processors, background check providers, integrations, maps, calendars, EHR connectors, marketing tools, or other external services.
HUB does not control and is not responsible for third-party services, their content, availability, accuracy, privacy practices, terms, security, or actions.
Your use of third-party services is at your own risk and subject to their terms.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
HUB disclaims all warranties, including without limitation:
merchantability;
fitness for a particular purpose;
title;
non-infringement;
accuracy;
availability;
security;
reliability;
quality of services arranged through the Platform; and
that the Platform will be uninterrupted, error-free, or free of harmful components.
HUB DOES NOT WARRANT OR GUARANTEE:
the identity, honesty, conduct, performance, credentials, licensing, certification, insurance, qualifications, or suitability of any user;
the legality, safety, quality, timeliness, appropriateness, or outcome of any service or interaction;
that any service request will be fulfilled;
that any caregiver or service provider is available, competent, or appropriate for a particular need;
that any information or content on the Platform is complete, current, or error-free; or
that use of the Platform will meet your expectations or business needs.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUB AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUB SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING FROM OR RELATING TO:
services requested, offered, or performed by users;
personal injury, death, property damage, theft, assault, abuse, harassment, negligence, misconduct, or illegal acts by any user or third party;
disputes or disagreements between users;
background checks, verification efforts, or lack thereof;
user content or communications;
interruptions, outages, delays, system failures, cyber incidents, or data loss;
unauthorized access to accounts or information; or
any off-platform interaction or arrangement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUB’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
one hundred U.S. dollars (US $100); or
the total amount of fees, if any, paid by you directly to HUB in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability will be limited to the fullest extent permitted by law.
21. Indemnification
You agree to defend, indemnify, and hold harmless HUB and its affiliates, officers, directors, members, managers, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, suits, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
your use of or access to the Platform;
your User Content;
your violation of these Terms or any supplemental policy;
your violation of applicable law;
your interactions, arrangements, or disputes with any other user or third party;
services you request, offer, provide, supervise, or receive; or
your negligence, misconduct, fraud, abuse, misrepresentation, or infringement of any rights.
HUB reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with HUB’s defense.
22. Release
To the maximum extent permitted by law, you release HUB and its affiliates, officers, directors, members, managers, employees, contractors, agents, licensors, and service providers from any and all claims, demands, damages, losses, and liabilities arising out of or related to disputes, injuries, losses, or damages involving other users or third parties, including those arising from services arranged through the Platform.
If you are a California resident, you waive California Civil Code Section 1542, which states that a general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known, would have materially affected the settlement.
23. Suspension and Termination
HUB may, at any time and without prior notice, suspend, restrict, investigate, or terminate your access to the Platform or any feature of it for any reason, including if HUB believes:
you violated these Terms or any policy;
your conduct creates risk or possible legal exposure;
your account information is inaccurate or misleading;
your activity is fraudulent, abusive, unsafe, or unlawful; or
suspension or termination is necessary to protect users, HUB, or third parties.
You may stop using the Platform at any time.
Any provisions that by their nature should survive termination will survive, including without limitation provisions on payments owed, intellectual property, disclaimers, limitation of liability, indemnification, release, dispute resolution, governing law, and any accrued rights or obligations.
24. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
24.1 Informal Resolution
Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally by written notice. The notice must describe the nature of the dispute, the basis of the claim, and the relief sought.
24.2 Binding Arbitration
Except to the extent prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the relationship between you and HUB shall be resolved by final and binding arbitration on an individual basis, rather than in court.
The arbitration shall be administered by a nationally recognized arbitration provider selected by HUB, under its applicable consumer or commercial arbitration rules as appropriate, except as modified by these Terms. The arbitration may be conducted remotely, by written submissions, or in the county and state designated by HUB in the Governing Law section, unless applicable law requires otherwise.
24.3 Exceptions
Either party may bring an individual action in small claims court if the claim qualifies. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, or safety pending arbitration.
24.4 No Class Actions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND HUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, COLLECTIVE MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
24.5 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND HUB WAIVE ANY RIGHT TO A JURY TRIAL.
24.6 Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out within thirty (30) days after first accepting these Terms. Your opt-out notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision in these Terms. Opt-out notices must be sent to admin@hub.healthcare. Opting out of arbitration will not affect any other part of these Terms.
This arbitration section should be reviewed by counsel for state-specific enforceability requirements.
25. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of laws principles, except to the extent superseded by the Federal Arbitration Act or other applicable law.
If a dispute is permitted to proceed in court, the exclusive venue shall be the state or federal courts located in Wake County, North Carolina, and each party consents to the personal jurisdiction of those courts.
26. Privacy
Your use of the Platform is also subject to HUB’s Privacy Policy, which is incorporated into these Terms by reference.
The Privacy Policy should describe how HUB collects, uses, stores, shares, and protects personal information, communications data, profile data, device information, and other information processed through the Platform.
Where health-related, caregiving-related, or sensitive information may be involved, separate notices, consents, or business associate arrangements may be required depending on how the Platform is implemented and who uses it.
27. Confidentiality and Sensitive Information
You acknowledge that the Platform may involve information that is sensitive, personal, financial, operational, or health-related.
You agree not to:
disclose information obtained through the Platform except as permitted by law and these Terms;
request or share more information than reasonably necessary for lawful use of the Platform;
misuse another person’s personal or health-related information; or
upload or transmit sensitive information unless authorized and reasonably necessary for Platform use.
HUB may establish additional confidentiality, HIPAA-adjacent, or data handling requirements for specific workflows, enterprise implementations, or regulated use cases.
28. Electronic Signatures and Records
You agree that your electronic acceptance of these Terms and your use of the Platform constitute your signature and agreement to conduct transactions electronically.
You consent to receive records, disclosures, notices, and agreements electronically, except where law requires otherwise.
29. Changes to the Platform and Terms
HUB may modify the Platform, these Terms, or any related policy at any time.
If we make material changes, we may provide notice by posting updated Terms, sending an email, providing in-app notice, or using other reasonable means. Changes will become effective on the date stated in the updated Terms unless otherwise required by law.
Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
30. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without HUB’s prior written consent.
HUB may assign or transfer these Terms or any rights or obligations under them without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.
31. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.
If the class action waiver in the arbitration section is found unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and litigated in court, and the remaining claims shall be arbitrated.
32. No Waiver
No waiver by HUB of any provision or right under these Terms shall be deemed a further or continuing waiver of that provision or right or any other provision or right.
33. Entire Agreement
These Terms, together with any supplemental agreements, policies, and notices incorporated by reference, constitute the entire agreement between you and HUB regarding the Platform and supersede all prior or contemporaneous communications, understandings, and proposals regarding the Platform.
34. Force Majeure
HUB shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, weather events, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, power failures, internet or telecommunications outages, governmental actions, or failures of third-party service providers.
